All panel, inverter, racking, installation, and equipment costs are determined by the installer and vary based on their rates, service structures, and the specific requirements of the location.

• Installer Selection: All costs are determined by the selected installer, including labor, equipment handling, and travel fees. Variations in installer pricing may apply.

This disclosure outlines the terms, conditions, and relevant details for participation in TIER 1 Solar Solutions, LLC ("TIER 1") appointment-based lead generation programs: Pay-Per-Close and Pay-Per-Sit. By enrolling, the Client agrees to the terms herein and acknowledges the following:

Program Overview

​

1. Pay-Per-Close Model:

   • Allocations are based on kilowatts (kW) of sales closed.

   • Clients must maintain a 40% close rate on appointments assigned.

   • Billing is based on the assumed 40% close rate regardless of actual performance, provided TIER 1 assigns the required number of appointments.

   • Allocations are annual, not monthly. Appointments may vary by month but are calculated to meet the annual allocation.

2. Pay-Per-Sit Model:

   • Allocations are based on the total number of homeowner sits annually.

   • Sits may vary by month, with the total allocation applied across the year.

   • Deposits are non-refundable for annual plans if terminated before the end of the 12-month term.

 

Close Rate Requirement (Pay-Per-Close Model Only)

1. Close Rate Definition:

   • The close rate is defined as the percentage of assigned appointments that result in a closed sale.

2. Minimum Requirement:

   • Clients are expected to achieve a 40% close rate.

   • TIER 1 will assign the number of appointments necessary to meet the allocation for each tier based on this close rate.

3. Appointment Calculation:

   • Formula:
     Annual Allocation (kW) ÷ Average System Size (kW) ÷ Close Rate (40%).

   • Example for Tier 1 (252 kW, 7 kW average system size):
     252 ÷ 7 ÷ 0.4 = 90 appointments/year.

4. Billing:

   • Clients are billed for the full allocation based on the assumed close rate as long as TIER 1 assigns the required number of appointments.

   • If TIER 1 assigns fewer than the required number, billing is adjusted proportionally.

 

Allocations and Flexibility

1. Annual Allocations:

   • Both kW (Pay-Per-Close) and sits (Pay-Per-Sit) are calculated on a yearly basis, not monthly quotas.

   • Allocations may be fulfilled unevenly throughout the year. Example: A Client may receive more appointments or sits in one month than another, but the total will align with the annual allocation.

2. Unused Allocations:

   • Pay-Per-Close:

     • If the annual kW allocation is not reached, the deposit amount for unused kW is credited to the next year if the plan is renewed. If not renewed, the unused deposit is forfeited.

   • Pay-Per-Sit:

     • If the annual sit allocation is not reached, the deposit amount for unused sits is credited to the next year if the plan is renewed. If not renewed, the unused deposit is forfeited.

 

CRM and Calendly Fees

1. Monthly Plans:

   • CRM Fee: $95/user/month.

   • Calendly Fee: $22/user/month.

2. Annual Plans:

   • CRM Fee: $1,068 annually.

   • Calendly Fee: $195 annually (included for the first year).

3. Market Price Clause:

   • CRM and Calendly costs are based on current market prices and are subject to change. Any adjustments will be communicated with at least 30 days' notice for month-to-month clients. Annual plans lock in rates for the term.

 

Cancellation Policy

1. Month-to-Month Plans:

   • Either party may terminate with 30 days' written notice.

   • No refunds for unused deposits or appointments.

2. Annual Plans:

   • Deposits are non-refundable if terminated before the 12-month term is completed.

   • Pay-Per-Close: Any unused deposit for kW allocations is forfeited.

   • Pay-Per-Sit: Any unused deposit for sit allocations is forfeited.

 

Non-Disclosure and Confidentiality

1. Pay-Per-Close Example: Tier 1

• Annual Allocation: 252 kW.

• Appointments Required:

  • The Client is billed for 36 closed sales (252 kW) regardless of actual performance if TIER 1 assigns 90 appointments.

 

   2. Pay-Per-Sit Example: Tier 1

• Billing:

  • If only 50 sits are completed, the deposit for the unused 10 sits ($4,000) is credited to the renewal. If not renewed, it is forfeited.

 

Renewals and Termination

   • Annual plans renew at the locked-in rates unless terminated before the term ends.
